Holdings in the Company
The Company has been informed that funds managed by Oaktree Capital Management, L.P. ("Oaktree") have executed an agreement for the disposal of their entire shareholding in the Company, consisting of 73,665,895 ordinary shares and representing approximately 36.83% of the Company's issued share capital. This disposal was effected by way of a placing of shares to institutional investors (the "Placing").
Following the Placing, Oaktree no longer holds any shares of the Company.
As a result, Karim Khairallah, a director of the Company appointed by Oaktree, has agreed to step down from the board of the Company with immediate effect.
J.P. Morgan Cazenove and Nomura acted as Joint Bookrunners and placing agents to Oaktree on the Placing. JOH. Berenberg, Gossler & Co KG was also appointed to act as selling agent.
